1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Communa Inc ("Communa," "Company," "we," "us," or "our"), a corporation organized under the laws of the State of Delaware and operating from 99 Wall Street, Suite 1199, New York, NY 10005-4301.

By accessing or using the Communa platform, APIs, agents, documentation, or any related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Communa provides a cloud-based platform that enables users to create, configure, and deploy autonomous AI agents with computer-use capabilities. Each agent operates within an isolated sandboxed environment and may be equipped with:

  • Its own virtual operating system, file system, and managed sandbox
  • Credential vaults for secure storage and use of third-party authentication tokens
  • Structured databases for capturing and transforming data
  • Email sending and receiving capabilities
  • Web browsing and interaction with third-party websites and applications
  • Reusable skills — modular, transferable capability packages
  • Queue-based task processing and scheduled automation execution

The Services may include features that are in alpha, beta, or experimental stages. We may label such features accordingly, but the absence of such a label does not guarantee that a feature is stable, complete, or free of errors. The platform and its underlying AI capabilities are continuously evolving and may change without notice.

3. Eligibility

You must be at least 18 years of age to use the Services. By creating an account, you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of an entity, you further represent that you are authorized to accept these Terms on behalf of that entity.

4. Account Registration and Security

To use the Services, you must create an account using a valid email address and authenticate through our supported methods (including third-party OAuth providers such as Google or GitHub). You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Promptly notifying us of any unauthorized access or security breach

We are not liable for any loss or damage arising from unauthorized access to your account resulting from your failure to safeguard your credentials.

5. Autonomous Agent Authorization

This is a critical provision. Please read carefully.

By configuring, launching, or otherwise deploying an AI agent through the Services, you explicitly authorize that agent to act as your digital representative. This authorization includes, but is not limited to:

  • Accessing and interacting with third-party websites, applications, and APIs on your behalf
  • Using credentials you have stored in the platform to authenticate with external services
  • Sending and receiving emails using your configured email addresses
  • Creating, modifying, reading, and deleting files within the agent's sandbox environment
  • Executing computer actions including mouse clicks, keyboard input, and screen navigation
  • Making decisions and taking actions based on AI reasoning without requiring per-action human approval

All actions performed by your AI agents are legally attributable to you. You are the principal; the agent is your instrument. Communa is a platform provider and does not direct, supervise, or assume responsibility for the specific actions your agents perform.

6. AI and Automation Risk Disclosure

You acknowledge and accept the following inherent risks associated with autonomous AI systems:

  • Unpredictability: AI agents may behave in unexpected ways, produce inaccurate outputs, or take actions you did not anticipate. AI models are probabilistic systems, not deterministic programs.
  • Errors and hallucinations: AI-generated content, analysis, and decisions may contain factual errors, fabricated information, or flawed reasoning.
  • Third-party interactions: Agents may interact with external services in ways that violate those services' terms of use, rate limits, or access policies. You are solely responsible for ensuring compliance.
  • Data handling: Agents may process, transmit, or expose data in ways you did not intend. You should not provide agents with access to data whose exposure would cause irreparable harm.
  • Financial risk: Agent actions on financial platforms, e-commerce sites, or payment systems could result in unintended transactions or financial loss.
  • Irreversible actions: Certain actions taken by agents (such as sending emails, submitting forms, or deleting data on third-party platforms) may not be reversible.

You assume all risk associated with the deployment and operation of AI agents through the Services. You should implement appropriate human oversight, review mechanisms, and safeguards proportionate to the sensitivity of the tasks you delegate to agents.

7. User Responsibilities

You are solely responsible for:

  • All content, instructions, prompts, and data you provide to agents
  • All actions taken by agents you configure and deploy
  • Ensuring your use of the Services complies with all applicable laws and regulations, including but not limited to data protection, privacy, anti-spam, consumer protection, financial regulation, and export control laws
  • Ensuring your agents' interactions with third-party services comply with those services' terms of use and acceptable use policies
  • Reviewing and verifying agent outputs before relying on them for any decision
  • Maintaining adequate backups of your data
  • Configuring appropriate access controls, permissions, and safeguards for your agents

8. Acceptable Use

Because Communa enables autonomous AI agents that can take real-world actions — including interacting with third-party systems, sending emails, and executing computer operations — responsible use is critical. Violation of this section may result in immediate suspension or termination of your account without prior notice or refund.

8.1 General Principles

You agree to:

  • Use the Services only for lawful purposes and in compliance with all applicable laws and regulations
  • Take responsibility for all actions performed by your AI agents, as those actions are legally attributable to you
  • Implement appropriate human oversight proportionate to the sensitivity and risk of tasks delegated to agents
  • Not use the Services in ways that could harm, disrupt, or negatively affect Communa, other users, or third parties
  • Respect the terms of service and acceptable use policies of any third-party services your agents interact with

8.2 Prohibited Activities

You may not use the Services, directly or through AI agents, for any of the following:

(a) Illegal Activity. Any activity that violates applicable law; facilitating illegal transactions, services, or goods; money laundering, terrorist financing, or sanctions evasion; violations of export control laws or regulations.

(b) Fraud and Deception. Phishing, social engineering, or schemes designed to deceive; impersonating any person, organization, or entity; creating misleading content to manipulate or defraud; generating fake reviews, testimonials, or social proof; manipulating financial markets, prices, or economic indicators.

(c) Unauthorized Access. Attempting to gain unauthorized access to any system, network, account, or data; credential stuffing, brute force attacks, or exploiting authentication vulnerabilities; bypassing security measures, rate limits, or anti-automation protections on any system; reverse engineering or decompiling the Services; using agents to probe for vulnerabilities without explicit authorization.

(d) Spam and Unsolicited Communications. Sending bulk, unsolicited, or deceptive communications; using agents for outreach campaigns that violate anti-spam laws (CAN-SPAM, GDPR, PECR, CASL, or equivalent); harvesting email addresses or contact information without consent.

(e) Malicious Software and Interference. Creating, distributing, or deploying malware, ransomware, or harmful code; denial-of-service attacks or activities designed to disrupt services; interfering with the operation or availability of the Services or third-party systems.

(f) Scraping and Data Extraction Violations. Scraping or extracting data from websites or services in violation of their terms of use or robots.txt directives; mass data extraction for building competing products; collecting personal information without proper legal basis; circumventing paywalls or content access restrictions.

(g) Harmful and Abusive Content. Generating or distributing content that promotes violence, hatred, discrimination, or harassment; creating non-consensual intimate imagery or deepfakes; stalking, surveillance, or monitoring individuals without consent; generating child sexual abuse material or content exploiting minors; promoting self-harm or dangerous activities.

(h) High-Risk and Regulated Activities. Using agents for regulated activities without appropriate compliance frameworks, including: medical diagnosis or treatment recommendations, legal advice or the practice of law, financial advice or trading without proper licensing, autonomous weapons systems, critical infrastructure control, law enforcement or judicial decision-making. If you operate in a regulated industry, you are solely responsible for ensuring compliance and obtaining necessary licenses.

(i) Platform Abuse. Creating multiple accounts to circumvent limits, suspensions, or bans; reselling or white-labeling the Services without written agreement; using the Services to benchmark or build competitive products; manipulating credit systems, free tiers, or promotional offers; systematically exfiltrating platform data or proprietary information.

8.3 Monitoring and Enforcement

We reserve the right, but are not obligated, to monitor your use of the Services for compliance with this section. We may investigate suspected violations, suspend or limit capabilities, terminate your account without prior notice for serious or repeated violations, report suspected illegal activity to law enforcement, and remove content or agents that violate this policy.

8.4 Consequences of Violation

Depending on the severity of the violation, we may take one or more of the following actions:

  • Warning: Notification and request to cease the prohibited activity
  • Capability restriction: Temporary limitation of specific features (e.g., email sending, agent execution)
  • Suspension: Temporary suspension of your account pending investigation
  • Termination: Permanent termination of your account and deletion of associated data
  • Legal action: Pursuit of legal remedies, including claims for damages

No refund will be issued for accounts terminated due to violations of this section.

8.5 Reporting Violations

If you become aware of any use of the Services that violates this section, please report it to support@communa.io. We take reports seriously and will investigate promptly.

9. Credentials, Integrations, and Third-Party Services

The Services allow you to store credentials (such as API keys, passwords, OAuth tokens, and other authentication information) for use by your agents. Regarding credential handling:

  • Encryption: Credentials are encrypted at rest using industry-standard encryption methods.
  • LLM concealment: We employ best-effort measures to prevent credential values from being directly visible to the underlying AI models. However, we cannot guarantee that credentials will never be included in model context, logs, or outputs.
  • No absolute security guarantee: While we implement reasonable technical safeguards, no system is completely secure. You acknowledge that storing credentials on any cloud platform carries inherent risk.
  • Your responsibility: You are responsible for the credentials you store and for ensuring that granting agent access to those credentials complies with the applicable third-party service's terms and conditions.

The Services may integrate with or allow agents to interact with third-party services, websites, and APIs. Communa does not control, endorse, or assume responsibility for any third-party services. Your interactions with third-party services through our platform are governed by those services' own terms and privacy policies.

10. Email and Communications

The Services may allow agents to send and receive email on your behalf. You are solely responsible for:

  • Compliance with all applicable anti-spam laws, including the CAN-SPAM Act, GDPR, and any local regulations governing electronic communications
  • Obtaining all necessary consents before sending communications through agents
  • The content and accuracy of all communications sent by your agents
  • Maintaining proper unsubscribe mechanisms where legally required

We reserve the right to suspend email functionality for any account that we reasonably believe is being used to send unsolicited or abusive communications.

11. Data Ownership and Processing

Your data belongs to you. You retain all rights, title, and interest in and to the data, content, and materials you provide to the Services ("User Content"). By using the Services, you grant Communa a limited, non-exclusive license to process your User Content solely as necessary to provide and improve the Services.

In most cases, Communa acts as a data processor on your behalf. You are the data controller with respect to personal data processed through your agents. Our processing of personal data is further described in our Privacy Policy.

We may generate aggregated, anonymized, or de-identified data derived from usage patterns for the purpose of improving the Services, conducting research, and producing analytics. Such data will not identify you or any individual.

12. Intellectual Property

The Services, including all software, algorithms, user interfaces, documentation, branding, and underlying technology, are and remain the exclusive property of Communa Inc and its licensors. These Terms do not grant you any right, title, or interest in the Services except for the limited right to use the Services in accordance with these Terms.

Subject to applicable AI output ownership laws, outputs generated by AI agents through the Services are yours. However, Communa makes no representation or warranty regarding the intellectual property status of AI-generated content, and you are solely responsible for determining whether such content infringes third-party rights.

13. Fees, Credits, and Payment

The Services may include free tiers, paid subscription plans, and usage-based credit systems. If you purchase credits or subscribe to a paid plan:

  • All fees are stated in U.S. dollars unless otherwise specified
  • Fees are non-refundable except where required by applicable law
  • We may change pricing with 30 days' prior notice
  • Credits may expire according to the terms of your plan
  • Failure to pay may result in suspension or downgrade of your account

We reserve the right to offer, modify, or discontinue free tiers at any time without notice.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMMUNA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED CONTENT OR AGENT OUTPUT
  • WARRANTIES THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS

No advice or information, whether oral or written, obtained from Communa or through the Services shall create any warranty not expressly stated in these Terms. Communa does not warrant or guarantee the results that may be obtained from use of the Services.

Communa is not a fiduciary. We do not provide legal, financial, medical, or professional advice. Any reliance on AI outputs is at your sole risk.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(a) No Consequential Damages. IN NO EVENT SHALL COMMUNA, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL; COST OF PROCUREMENT OF SUBSTITUTE SERVICES; BUSINESS INTERRUPTION; UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; ACTIONS TAKEN BY AI AGENTS ON THIRD-PARTY PLATFORMS; OR ANY DAMAGES ARISING FROM YOUR RELIANCE ON AI-GENERATED CONTENT — REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF COMMUNA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) Liability Cap. COMMUNA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (i) ONE HUNDRED U.S. DOLLARS ($100); OR (ii) THE TOTAL FEES ACTUALLY PAID BY YOU TO COMMUNA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

(c) Essential Basis. THE LIMITATIONS IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES. THE SERVICES WOULD NOT BE PROVIDED WITHOUT THESE LIMITATIONS.

(d) Exceptions. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, willful misconduct, fraud, or death or personal injury caused by negligence.

16. Indemnification

You agree to indemnify, defend, and hold harmless Communa Inc, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Services or any activity under your account
  • Actions taken by AI agents you deploy
  • Your violation of these Terms or any applicable law
  • Your infringement of any third-party rights, including intellectual property rights
  • Claims by third parties whose services were accessed by your agents
  • Any data breach or security incident caused by your actions or negligence

17. Export Controls and Sanctions

The Services may be subject to U.S. and international export control and sanctions laws, including regulations administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC) and the U.S. Department of Commerce. You represent and warrant that:

  • You are not located in, organized under the laws of, or a resident of any country or territory subject to comprehensive U.S. sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions)
  • You are not designated on any U.S. government restricted party list
  • You will not use the Services in violation of any applicable export control or sanctions laws

18. Termination

By you: You may terminate your account at any time by contacting us at support@communa.io or through the account settings in the platform.

By us: We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:

  • Violation of these Terms (including the Acceptable Use provisions in Section 8)
  • Conduct that we reasonably believe poses a risk to the security, integrity, or availability of the Services
  • Extended periods of inactivity
  • Failure to pay applicable fees
  • Legal or regulatory requirements

Upon termination, your right to use the Services ceases immediately. We may, but are not obligated to, retain your data for a reasonable period to allow you to export it. Sections that by their nature should survive termination shall survive, including but not limited to Sections 5, 6, 7, 14, 15, 16, 17, 20, and 21.

19. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Services or by other reasonable means (such as email). Your continued use of the Services after the effective date of any modification constitutes acceptance of the updated Terms.

If you do not agree to the modified Terms, you must stop using the Services and close your account.

20. Dispute Resolution, Arbitration, and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

20.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at support@communa.io and attempt to resolve the dispute informally for at least 30 days.

20.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in New York, New York, or at another mutually agreed location, and may be conducted remotely to the extent permitted by the AAA rules.

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

20.3 Class Action Waiver

YOU AND COMMUNA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

20.4 Jury Trial Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AND COMMUNA EACH WAIVE THE RIGHT TO A JURY TRIAL.

20.5 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights. Claims eligible for small claims court may also be brought there.

20.6 Opt-Out

You may opt out of this arbitration agreement by sending written notice to support@communa.io within 30 days of first accepting these Terms. If you opt out, you and Communa agree to submit to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of laws provisions. Any legal action or proceeding (to the extent not subject to arbitration) shall be brought exclusively in the state or federal courts located in New York County, New York.

22. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Communa with respect to the Services.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

No Agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Communa.

Force Majeure. Communa shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, government action, internet disruption, or third-party service failures.
